Terms and Conditions

These Terms and Conditions ("Terms") govern all sales of goods and services by Indspare Wholesale and Retail Trading Co. W.L.L. ("IndSpare", "we", "us", "our") to its customers ("Customer", "you", "your"). By placing an order with IndSpare — whether through indspare.com, by email quotation, or by any other channel — you accept these Terms in full.

2. Scope and Eligibility

1. IndSpare supplies precision industrial components, instrumentation, valves, fittings, sensors, and MRO products to professional buyers in Kuwait, the GCC (Bahrain, Oman, Qatar, Saudi Arabia, United Arab Emirates), and selected international markets including the United States.
2. IndSpare's products are intended for professional and business use ("B2B"). Consumer purchases (purchases by individuals not acting in the course of a business or profession) are accepted at IndSpare's discretion on the same Terms, with the additional consumer rights provided by applicable Kuwaiti law where mandatory.
3. To place an order, you must be at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction. Where you are placing an order on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.

3. Orders, Quotations, and Formation of Agreement

1. Product listings and prices on indspare.com constitute an invitation to treat, not a binding offer.
2. An order placed through the website or by email is an offer by you to purchase the products at the listed price. IndSpare may accept or reject any order in its sole discretion.
3. A binding agreement is formed only when IndSpare confirms the order in writing (typically by emailed order confirmation). Until that confirmation is issued, no contract exists.
4. Custom or non-stock items are sold on the basis of a written quotation. Quotations are valid for the period stated in the quotation or, if not stated, for seven (7) calendar days from the date of issue. Custom items become non-cancellable and non-returnable once the quotation is accepted and the order is confirmed.
5. IndSpare reserves the right to refuse, cancel, or limit any order at any time before dispatch, including (without limitation) where there is an obvious pricing error, suspected fraud, stock unavailability, or a breach of these Terms.

4. Prices and Currency

1. All prices on indspare.com are quoted in Kuwaiti Dinars (KWD) unless expressly stated otherwise.
2. Prices exclude shipping, customs duties, taxes, and any other country-specific charges, which are calculated and shown at checkout or in the relevant quotation.
3. IndSpare reserves the right to correct pricing errors at any time before order confirmation. If you have already paid for an order affected by a pricing error, IndSpare will notify you and either refund the difference or, with your agreement, supply the order at the corrected price.
4. Where applicable, the buyer is responsible for any value-added tax (VAT), goods and services tax (GST), customs duties, import licences, and other levies imposed by the destination country. Kuwait does not levy VAT on industrial supplies as of the date of these Terms; this may change by operation of law.

5. Payment

Payment is required at the time of order confirmation unless otherwise agreed in writing. Accepted methods include:

• Online card payment via Tap Payments (subject to a 2.75% non-refundable payment processing fee deducted on customer-initiated cancellations and unverified-defect returns — see the Return, Refund & Warranty Policy)
• Bank transfer to IndSpare's nominated account (details provided on invoice)

Goods remain the property of IndSpare until the full purchase price, including any applicable shipping, duties, and fees, has been received in cleared funds. If a payment is reversed, charged back, or otherwise fails after order confirmation, IndSpare may suspend or cancel the order and pursue recovery of any direct losses incurred.

6. Delivery

1. IndSpare ships via DHL Express and other carriers as appropriate to the destination. Indicative transit times are published on the Shipping information page and on individual product listings.
2. Delivery dates are estimates and not binding deadlines. IndSpare is not liable for any delay caused by the carrier, customs clearance, force majeure, or any cause beyond IndSpare's reasonable control.
3. Risk of loss or damage to the goods passes to the customer upon delivery to the carrier. Title passes only when payment is received in full (clause 5.2).
4. The customer is responsible for providing a complete and accurate delivery address and for being available (or arranging an authorised representative) to accept delivery. Re-delivery costs caused by an incorrect address or failed delivery attempts are borne by the customer.
5. The customer is responsible for clearing the goods through customs in the destination country and for paying any duties, taxes, brokerage fees, and storage charges levied by customs authorities.

7. Returns, Refunds, and Warranty

Returns, refunds, and manufacturer warranty pass-through are governed by IndSpare's Return, Refund & Warranty Policy. That policy is incorporated into these Terms by reference and forms part of your agreement with IndSpare.

In summary (and subject to the full terms of the Return, Refund & Warranty Policy):

• A 5-business-day window applies to damage on arrival or wrong-item claims (IndSpare arranges and pays return shipping)
• A 15-day window applies to defects discovered in normal use (customer pays return shipping upfront, refunded if defect verified)
• Beyond 15 days, the manufacturer's warranty (typically 12–24 months) applies, coordinated by IndSpare on the customer's behalf
• Change-of-mind, custom items, and items damaged by misuse are not eligible for return

In the event of any conflict between the summary in this clause 7 and the Return, Refund & Warranty Policy, the latter prevails.

8. Cancellations

• Orders may be cancelled at no cost any time before dispatch by the carrier
• Customer-initiated cancellations after card payment incur the non-refundable Tap payment processing fee (typically 2.75%) deducted from the refund
• IndSpare-initiated cancellations (out of stock, supplier issue, pricing error) are refunded in full without deduction

9. Product Information and Suitability

1. Product descriptions, specifications, drawings, and technical documentation on indspare.com are provided in good faith based on data supplied by the manufacturer or compiled by IndSpare. Minor variations between published data and the actual product (e.g. due to manufacturer revisions) do not constitute a defect.
2. The customer is solely responsible for selecting products suitable for the intended application and for verifying compatibility with the customer's own systems, operating conditions, and regulatory requirements. IndSpare's role is to supply the product specified in the order; IndSpare does not provide engineering certification or design sign-off unless expressly contracted to do so in writing.
3. Photographs on indspare.com are illustrative. Where a product is sold by part number / MPN, the part number governs in case of any inconsistency with the photograph.

10. Intellectual Property

1. All content on indspare.com — including text, photographs, technical data, the IndSpare name and logo, page layouts, and database compilations — is owned by IndSpare or its licensors and protected by applicable intellectual property laws.
2. Manufacturer brand names, part numbers, and trademarks displayed on indspare.com remain the property of their respective owners. IndSpare's use of these marks is solely to identify the products being supplied.
3. You may not reproduce, scrape, redistribute, or commercially exploit indspare.com content without IndSpare's prior written consent, except for personal evaluation in connection with a bona fide purchase enquiry.

11. Liability and Limitation

1. IndSpare's total cumulative liability to a customer arising out of or in connection with any single order, whether in contract, tort (including negligence), or otherwise, is limited to the amount actually paid by the customer for that order.
2. IndSpare shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including (without limitation) loss of profits, loss of revenue, loss of production, plant downtime, loss of data, loss of goodwill, or loss of business opportunity, whether foreseeable or not.
3. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under mandatory applicable law, including (where applicable) liability for death or personal injury caused by IndSpare's gross negligence or wilful misconduct, or liability for fraud.
4. IndSpare is not responsible for the use, fitness, or performance of products in any application beyond the manufacturer's stated specifications and operating envelope.

12. Force Majeure

1. IndSpare shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by an event beyond its reasonable control, including (without limitation) acts of God, war, terrorism, civil unrest, government action, regional border closures, sanctions, currency restrictions, fire, flood, pandemic, epidemic, supplier failure, carrier disruption, or labour dispute.
2. If a force majeure event continues for more than ninety (90) days, either party may terminate the affected order on written notice. In that case, IndSpare will refund any prepaid amounts for goods not yet dispatched.

13. Export Controls and Compliance

1. Products supplied by IndSpare may be subject to export-control laws of the manufacturer's country of origin (commonly the United States, European Union, or Japan), as well as Kuwait export regulations. The customer is responsible for complying with all applicable export, re-export, and end-use restrictions.
2. The customer warrants that it will not re-export, transfer, or divert any product to a sanctioned country, restricted entity, or prohibited end-use (including weapons of mass destruction, nuclear proliferation, or terrorism-related applications).
3. IndSpare reserves the right to require end-use certification or to decline orders that present an unacceptable compliance risk.

14. Privacy and Data Protection

IndSpare's collection and use of personal data is governed by the Privacy Policy, which is incorporated into these Terms by reference.

15. Governing Law and Dispute Resolution

1. These Terms and any dispute arising from or related to them or to any purchase from IndSpare are governed exclusively by the laws of the State of Kuwait.
2. Any dispute that cannot be resolved through good-faith negotiation within thirty (30) days of written notice shall be settled by arbitration administered by the Kuwait Commercial Arbitration Center (KCAC) in Kuwait City, in accordance with its rules in force at the time of the dispute. The arbitration shall be conducted in English by a sole arbitrator unless the parties agree otherwise. The decision of the arbitrator shall be final and binding on both parties and enforceable in any court of competent jurisdiction.
3. The above arbitration clause does not prevent IndSpare from seeking interim or injunctive relief in any court of competent jurisdiction to protect its intellectual property, recover unpaid amounts, or enforce these Terms.

16. General

1. These Terms, together with the Return, Refund & Warranty Policy and the Privacy Policy, constitute the entire agreement between you and IndSpare with respect to the subject matter and supersede all prior agreements, representations, and understandings (whether written or oral).
2. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
3. No failure or delay by IndSpare to enforce any provision of these Terms is a waiver of that or any other provision.
4. The customer may not assign or transfer its rights or obligations under these Terms without IndSpare's prior written consent. IndSpare may assign its rights and obligations to an affiliate or successor in business.
5. IndSpare may amend these Terms at any time by publishing an updated version on indspare.com. The version in force at the time of order confirmation governs that order.
